These Terms of Service ("Terms") govern your use of the Nextour mobile application (the "App"), websites (www.nextour.ai, www.nextourai.com), and related services (collectively, the "Services") provided by TripX AI LLC ("TripX AI," "we," "us," "our"). Contact: info@nextourai.com.

BY USING THE SERVICES, YOU AGREE TO THESE TERMS AND OUR PRIVACY POLICY, INCORPORATED HEREIN BY REFERENCE. IF YOU DISAGREE, DO NOT USE THE SERVICES.

1. Eligibility and Accounts

You must be 18 years or older to use the Services. You agree to provide accurate registration information and maintain account security. You are responsible for all account activity.

2. The Services

Nextour provides virtual tour guide features using user inputs and AI technology. Features may evolve. The Services rely on third-party infrastructure and processing.

3. License to Use Services

We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to use the App and Services for personal, non-commercial use, per these Terms.

4. User Conduct

Use the Services lawfully and ethically. Do not violate laws or rights, interfere with Services/security, reverse engineer, scrape data, submit harmful/illegal content, misuse the service commercially, or misrepresent your identity/age.

5. User Content and License to Us

You are responsible for your "User Content" (photos, location, queries, etc.). By submitting it, you grant TripX AI the perpetual, worldwide, royalty-free license detailed in Section 5 of our Privacy Policy to use it for operating, providing, maintaining, improving, and developing the Services and related technologies (including via anonymized/aggregated analysis and training) and potentially sharing anonymized content illustratively. You warrant you have rights to grant this license.

6. Intellectual Property Rights

• Our Materials: The Services and their components (software, design, etc., excluding User Content) are owned by TripX AI or its licensors ("Materials").
• AI Generated Content: Content generated by AI features ("AI Output") is provided as part of the Service. We grant you a limited, personal, non-commercial license to use AI Output for informational purposes related to the Service. TripX AI controls the provision of this AI Output.
• Feedback: Any feedback you provide may be used by us freely.

7. Third-Party Services

The Services utilize third-party services (e.g., cloud, AI, mapping). We are not responsible for them or their terms/policies.

8. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND (EXPRESS OR IMPLIED). TRIPX AI DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT ANY CONTENT (INCLUDING AI OUTPUT) WILL BE ACCURATE OR RELIABLE. AI OUTPUT IS FOR INFORMATIONAL PURPOSES ONLY; USE AT YOUR OWN RISK.

WE DO NOT WARRANT THAT ANY CONTENT, INCLUDING AI-GENERATED CONTENT ("AI OUTPUT"), WILL BE ACCURATE, COMPLETE, RELIABLE, OR TIMELY. YOU ACKNOWLEDGE THAT THE AI OUTPUT IS GENERATED BY AN AUTOMATED SYSTEM AND MAY CONTAIN FACTUAL INACCURACIES, OMISSIONS, OR BIASED INFORMATION. THE AI OUTPUT IS PROVIDED FOR INFORMATIONAL AND ENTERTAINMENT PURPOSES ONLY AND IS NOT A SUBSTITUTE FOR A HUMAN TOUR GUIDE OR INDEPENDENT FACT-CHECKING. YOU MUST INDEPENDENTLY VERIFY ANY INFORMATION (SUCH AS OPENING HOURS, DIRECTIONS, SAFETY WARNINGS, OR HISTORICAL FACTS) BEFORE RELYING ON IT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRIPX AI LLC (AND AFFILIATES, PERSONNEL) IS NOT LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF/INABILITY TO USE THE SERVICES, OR YOUR RELIANCE ON ANY CONTENT PROVIDED THROUGH THE SERVICES, INCLUDING ANY INACCURACIES OR ERRORS IN THE AI OUTPUT.

10. Indemnification

You agree to indemnify, defend, and hold harmless TripX AI LLC (and affiliates, personnel) from claims, liabilities, damages, losses, and expenses arising from your use of the Services, violation of these Terms, or infringement of third-party rights.

11. Termination

You may terminate by deleting your account. We may suspend or terminate your access at any time. Upon termination, your license ends. Sections intended to survive (e.g., 5, 6, 8, 9, 10, 12) remain effective.

12. Governing Law and Dispute Resolution

These Terms are governed by Washington State, USA law. Disputes shall be resolved exclusively in state or federal courts in King County, Washington. [Legal counsel should advise on adding an arbitration clause.]

13. Changes to Terms

We may modify these Terms. Changes will be posted. Continued use after changes constitutes acceptance.

14. General

These Terms and the Privacy Policy are the entire agreement. If a provision is invalid, the rest remains. No waiver of rights. Assignment requires consent (except we may assign freely).
